Appointment of Principal Officers
On
December 1, 2005, the registrant’s existing board of directors, acting by
authority of the registrant’s By-laws, expanded the size of the Board of
Directors to four persons and then appointed Mr. Sam Klepfish to fill the newly
created vacancy. Mr. Klepfish has been appointed the Chair of the registrant’s
Compensation and Audit Committees.
